Introduction
These Terms of Service ("Terms") are a legal agreement between Talinty ("Talinty", "we", "us") and you, governing your access to and use of talinty.com and the Talinty platform (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service for an organization, you confirm that you are authorized to bind that organization.
These Terms apply to two kinds of users:
Customers. Organizations and their authorized users (recruiters, hiring managers, and administrators) who subscribe to and use the Service to run hiring.
Candidates. Individuals who apply to, are assessed by, or are evaluated through a Customer's use of the Service.
Where Talinty provides the Service under a separately signed master agreement or order form, that agreement governs, and these Terms apply only where it is silent.
2. The Service
Talinty is a hiring intelligence platform that provides applicant tracking, AI-assisted candidate scoring and structured vetting, skill assessments, video interviews with AI transcription, team collaboration, and related features. We may update, add, or remove features over time.
Nature of AI outputs. Talinty's scores, rankings, vetting summaries, and recommendations are decision-support tools. They do not constitute hiring decisions or advice. The Customer's human reviewers are solely responsible for all hiring decisions, including the duty to use the Service in a lawful, fair, and non-discriminatory way and to provide any human review, notices, or rights required by employment and data protection law.
3. Accounts and eligibility
You must provide accurate account information and keep your credentials secure, and you are responsible for activity under your account. The Service is intended for business and professional use, and you must be of legal age to enter into a contract. We may suspend or terminate accounts that breach these Terms or present a security or legal risk.
4. Customer responsibilities
If you are a Customer, you agree to:
Use the Service lawfully. Only for legitimate recruitment and hiring purposes.
Handle candidate data properly. Obtain any consents and provide any notices to candidates required by law, and act as the data controller for candidate personal data (see the Data Processing Addendum in Section 12).
Comply with local law. Follow all applicable employment, anti-discrimination, and data protection laws in the places where you hire.
Keep a human in the loop. Do not rely solely on automated outputs where the law requires human involvement.
Manage your account. Keep your users, roles, and permissions properly configured.
5. Candidate use and acceptable use
If you are a Candidate using the Service (for example, submitting an application, taking an assessment, or recording a video interview), you agree to provide truthful information, to complete assessments yourself without prohibited assistance, and not to circumvent anti-cheating measures.
All users agree not to:
Disrupt, damage, or attempt to breach the Service or its security.
Reverse engineer, scrape, or copy the Service, except as permitted by law.
Upload malware or unlawful, infringing, or harmful content.
Infringe the rights of others.
Use the Service to build a competing product.
6. Subscriptions, fees, and payment
Paid features are provided under the tier and terms in your order form or subscription selection. Unless stated otherwise, fees are billed annually in advance, are non-refundable except where required by law, and are exclusive of taxes. We may change pricing on renewal with notice, and late or failed payment may lead to suspension.
7. Intellectual property
The Service, including its software, models, design, and content, is owned by Talinty or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.
You retain ownership of the content and data you submit ("Customer Data"), and you grant us the rights needed to operate and provide the Service, and to create aggregated, de-identified insights that do not identify any individual or Customer.
8. Third-party services
The Service integrates with third parties, such as authentication, calendar, job board, and payment providers. Your use of those services is governed by their own terms, and we are not responsible for them.
9. Confidentiality
Each party will protect the other's confidential information and use it only to perform under these Terms.
10. Warranties and disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, Talinty disclaims all implied warranties. We do not warrant that AI outputs are accurate, complete, or suitable for any hiring decision, and Customers remain responsible for their decisions and legal compliance.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and Talinty's total liability arising out of the Service is limited to the amounts you paid to Talinty in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
12. Data protection
Talinty's handling of personal data is described in our Privacy Policy. Where Talinty processes candidate personal data on a Customer's behalf, Talinty acts as processor and the Customer as controller, under a Data Processing Addendum (DPA) that forms part of these Terms and includes GDPR-compliant terms and our sub-processor list. 13. Suspension and termination
Either party may terminate as set out in the order form or, for free use, at any time. We may suspend access for breach, non-payment, or legal or security risk. On termination, your right to use the Service ends, and Customer Data is handled in line with the Privacy Policy and DPA.
14. Changes to these Terms
We may update these Terms and will post the updated version with a revised date. Material changes will be notified as required by law. If you continue to use the Service after changes take effect, you accept them.
15. Governing law and disputes
These Terms are governed by the laws of France, without regard to conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of the courts of Paris, France, unless a signed agreement or mandatory local law provides otherwise.
